Co-requisite: B8314. After Fall 2008, B8314 will be a firm pre-requisite for Real Estate Transactions and cannot be taken concurrently unless you are a J-termer.
This course presents an introduction to legal concepts applicable to commercial real estate transactions. By pairing issues of business strategy with legal structure, we aim to make the connection between the deal term sheet and legal documents of a real estate transaction. Coverage includes forms of ownership, legal rights and remedies, and structuring and documentation for major types of real estate transactions: acquisitions and dispositions, space leases, ground leases, mortgage financing, including CMBS, and mezzanine loans. Regulatory issues and transaction structures for development are also covered, as well as complex private equity JVs and M&A transactions. Students learn from actual transaction documents the key issues necessary for successful negotiations and closings.
